These Terms of Service ("Terms") govern your access to and use of CogniClose, an AI-powered LinkedIn sales automation platform. By creating an account, accessing, or using CogniClose, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our service.

1. Acceptance and Modification of Terms

By registering for an account or using CogniClose, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Refund Policy. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and CogniClose ("we," "us," or "our").

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice on the platform. Your continued use of CogniClose after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the service and cancel your account.

2. Description of Service

CogniClose is an AI-powered LinkedIn sales automation platform that provides the following services:

• Automated LinkedIn lead generation using AI-generated search filters based on your ideal customer profile, with no email lists, scraped databases, or purchased contact data
• Automated connection requests with personalized, AI-generated messages sent within safe daily pacing limits
• AI-assisted response generation to help users manage and reply to prospect conversations, detect intent, score lead quality, handle objections, and advance conversations toward booked meetings
• Dynamic persona system that adapts AI agent tone based on your role (recruiter, consultant, coach, agency, business developer)
• Deal scoring system (Hot, Warm, Cool, Cold) based on intent classification, urgency signals, and quality scoring
• Automated follow-up sequences with configurable timing and AI-generated messages
• Profile optimization analysis and recommendations
• Inbound lead management with AI assignment capabilities
• Working hours-based sending controls that restrict connection requests and messages to your configured local schedule
• Instant notifications when prospects are ready to book meetings

CogniClose is designed to automate targeted, one-to-one outreach and conversation management while maintaining quality, personalization, and compliance with professional networking standards. CogniClose does not provide, sell, or facilitate the distribution of bulk email lists, mass unsolicited messaging tools, or scraped contact databases.

3. Eligibility and Account Registration

You must be at least 18 years old or the age of majority in your jurisdiction to use CogniClose. By creating an account, you represent and warrant that:

• You meet the eligibility requirements
• All information you provide during registration is accurate, current, and complete
• You will maintain the accuracy of such information
• You have the legal authority to enter into these Terms
• You will not use the service for any illegal or unauthorized purpose

You are responsible for maintaining the confidentiality of your account credentials, including your password and LinkedIn access tokens. You agree to immediately notify us of any unauthorized access to or use of your account. You are solely responsible for all activities that occur under your account.

4. LinkedIn Integration and Third-Party Platform Disclaimer

IMPORTANT: CogniClose is NOT affiliated with, endorsed by, or sponsored by LinkedIn Corporation or Microsoft Corporation. CogniClose is an independent third-party tool that integrates with LinkedIn via secure API connections.

By connecting your LinkedIn account to CogniClose, you acknowledge and agree that:

• You grant CogniClose permission to access your LinkedIn account and enable user-configured automation workflows, including connection requests, messaging, and prospect analysis based on your settings.
• You are solely responsible for ensuring your use of CogniClose complies with LinkedIn's User Agreement, Professional Community Policies, and all applicable terms and policies.
• LinkedIn may modify its terms, policies, API access, or platform features at any time, which could impact CogniClose's functionality.
• CogniClose implements safety measures (daily rate limiting, behavioral thresholds, smart sending, working-hours enforcement) to reduce the risk of account restrictions, but we cannot guarantee that your LinkedIn account will not be limited, restricted, or suspended by LinkedIn.
• LinkedIn has the sole discretion to enforce its policies, and CogniClose has no control over LinkedIn's enforcement decisions.
• You must not use CogniClose in a manner that intentionally attempts to circumvent LinkedIn's daily limits, Terms of Service, or Professional Community Policies.

We strongly recommend that you review LinkedIn's terms and policies before using automated tools. Use CogniClose responsibly and in accordance with professional networking standards.

5. Acceptable Use Policy

You agree to use CogniClose in a lawful and responsible manner. You will NOT:

• Use CogniClose to send spam, unsolicited bulk messages, or messages that violate anti-spam laws (CAN-SPAM, GDPR, CASL, etc.)
• Use CogniClose as a bulk email marketing tool or to send mass unsolicited commercial email to contacts obtained from third-party lists
• Sell, resell, export, or redistribute prospect data, lead lists, scraped contact databases, or any personal data obtained through the platform
• Target individuals who have explicitly opted out of communication or requested removal from your outreach
• Use the platform to harass, threaten, defame, or harm others
• Engage in fraudulent, deceptive, or misleading practices, including misrepresenting your identity, company, or the nature of your outreach
• Violate any applicable local, national, or international laws or regulations, including anti-spam, data protection, and consumer protection laws
• Attempt to reverse engineer, decompile, or extract source code from the CogniClose platform
• Use automated scripts, bots, or tools to access CogniClose in a manner that interferes with or disrupts the platform
• Share your account credentials with unauthorized third parties or create multiple accounts to circumvent platform limits
• Use CogniClose to collect or harvest personal information from LinkedIn users for purposes other than legitimate, targeted business outreach
• Intentionally attempt to bypass, override, or circumvent LinkedIn's daily sending limits, rate limits, or Terms of Service using CogniClose or any external means
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the platform for any purpose that Stripe, PayPal, or other payment processors prohibit in their respective terms of service

We reserve the right to investigate any suspected violations of this Acceptable Use Policy and to suspend or terminate accounts that violate these Terms.

6. AI Agents and Automated Actions

CogniClose uses artificial intelligence to automate outreach, conversation, and lead qualification. You acknowledge and agree that:

• You are responsible for how you configure and use the platform, including any automated workflows or messaging activity initiated through your account.
• You must review and approve the AI-generated agent profile, value propositions, and outreach parameters during onboarding. While the AI generates content, you retain final editorial control and responsibility.
• You should monitor your AI agent campaigns regularly to ensure they align with your business objectives and comply with all applicable laws and platform policies.
• CogniClose AI makes decisions based on conversation context, intent detection, and scoring algorithms, but AI-generated responses may occasionally be imperfect or require human oversight for complex or sensitive situations.
• CogniClose implements safety mechanisms (banned phrase validation, do-not-send flags for low-engagement prospects, rate limiting, working-hours enforcement) to protect your account and maintain quality, but you remain ultimately responsible for the conduct of your AI agents.
• You may manually override, pause, or stop any AI-managed conversation at any time from within the platform.

No Guarantee of Results: While CogniClose is designed to improve lead generation and booking efficiency, we do not guarantee specific outcomes, meeting volumes, conversion rates, or revenue results. Success depends on multiple factors including your offer, target market, pricing, and external market conditions.

7. Multi-Account and Multi-Agent Use

If you use CogniClose to manage multiple LinkedIn accounts or deploy multiple AI agents, you confirm that:

• You have explicit authorization to connect and manage each LinkedIn account through CogniClose
• Each account you manage complies with LinkedIn's terms regarding account ownership and authorized use
• You will not use CogniClose to operate fake, fraudulent, or misleading accounts
• You understand that additional AI agents may incur additional fees as outlined in our pricing structure
• You will not use multi-agent capabilities to artificially amplify outreach volume in ways that circumvent per-account limits or violate LinkedIn's policies

8. Subscription Plans, Billing, and Payment

8.1 Pricing and Plans

CogniClose offers subscription plans (such as the Growth Plan) that may include:

• Monthly or annual recurring subscription fees
• Recurring monthly payments for AI Agent Add-ons
• Additional features or usage limits based on the selected plan

Current pricing is available on our website. We reserve the right to modify pricing at any time, but changes will not affect your current billing cycle. You will be notified of any price changes before they take effect.

8.2 Billing and Payment Terms

• Recurring Subscriptions: Subscription fees are billed in advance on a recurring monthly or annual basis, depending on your selected plan.
• Payment Processing: All payments are processed securely through our third-party payment processor. By subscribing, you authorize them to charge your designated payment method.
• Failed Payments: If a payment fails, we will attempt to notify you and retry the charge. Continued failure to pay may result in suspension or termination of your account.
• Taxes: You are responsible for any applicable sales tax, VAT, GST, or other taxes based on your billing location. Prices displayed may not include taxes.

8.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to CogniClose until that time. No refunds or prorated credits will be issued for partial subscription periods unless otherwise required by law or as specified in our Refund Policy.

9. Intellectual Property Rights

9.1 CogniClose Intellectual Property

All content, features, functionality, software, algorithms, AI models, and technology that make up CogniClose are the exclusive property of CogniClose and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use CogniClose strictly in accordance with these Terms. You may not:

• Copy, modify, distribute, sell, or lease any part of our service or software
• Reverse engineer, decompile, or attempt to extract the source code of CogniClose
• Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.) from the platform

9.2 Your Content and Data

You retain all ownership rights to the content and data you provide to CogniClose, including your business information, website content, target audience descriptions, and messaging preferences. By using CogniClose, you grant us a limited, worldwide, royalty-free license to use, process, and display your content solely for the purpose of providing and improving our service.

AI-generated messages, profiles, and outreach content created by CogniClose on your behalf are licensed to you for use in your business activities. CogniClose retains the right to use anonymized, aggregated data derived from your usage to improve our AI models and platform performance.

10. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using CogniClose, you consent to our data practices as described in the Privacy Policy.

You acknowledge that CogniClose processes prospect data on your behalf, and you act as the data controller for any personal data of prospects collected through the platform. You are responsible for ensuring your use of CogniClose complies with applicable data protection laws (GDPR, CCPA, etc.), including obtaining necessary consents and providing appropriate privacy notices to prospects.

CogniClose does not sell, rent, or share prospect data with any third parties for commercial purposes. Prospect data processed through the platform is used exclusively to deliver the services you have configured and is not monetized, licensed, or redistributed.

11. Disclaimers and Limitations of Liability

11.1 No Warranties

CogniClose is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the service will be uninterrupted, error-free, secure, or free from viruses or other harmful components
• Warranties regarding the accuracy, reliability, or completeness of AI-generated content, lead scores, or intent classifications
• Warranties that using CogniClose will result in specific business outcomes, meeting bookings, or revenue

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNICLOSE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, sales, or business opportunities
• Loss of data, leads, or prospect relationships
• Loss of LinkedIn account access due to restrictions, limitations, or suspension
• Business interruption or reputational harm
• Cost of substitute services
• Any damages arising from errors, bugs, or failures in the AI system

IN NO EVENT SHALL COGNICLOSE TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO COGNICLOSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

11.3 Third-Party Platform Risks

You acknowledge that LinkedIn and other third-party platforms have their own terms, policies, and enforcement mechanisms that are outside CogniClose's control. CogniClose is not responsible for:

• Changes to LinkedIn's API, features, or policies that affect CogniClose functionality
• LinkedIn's enforcement actions, including account restrictions, suspensions, or bans
• Any disputes between you and LinkedIn or other third parties

12. Indemnification

You agree to indemnify, defend, and hold harmless CogniClose, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of CogniClose
• Your violation of these Terms or any applicable laws or regulations
• Your violation of any third-party rights, including LinkedIn's terms or intellectual property rights
• Content, data, or messages you provide or that are generated by your AI agents
• Any disputes between you and prospects, clients, or other third parties
• Your violation of anti-spam laws or data protection regulations in your jurisdiction

13. Termination and Suspension

13.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings. Upon cancellation, your access to CogniClose will continue until the end of your current billing period, after which your account and data will be subject to our data retention policies as outlined in our Privacy Policy.

13.2 Termination or Suspension by CogniClose

We reserve the right to suspend or terminate your account immediately, with or without notice, if:

• You violate these Terms or our Acceptable Use Policy
• You engage in fraudulent, abusive, or illegal activity
• You use the platform to send spam or bulk unsolicited messages
• You attempt to sell, export, or redistribute prospect or user data obtained through the platform
• Your payment method fails or your account becomes delinquent
• We are required to do so by law or regulatory authority
• We determine, in our sole discretion, that your use of the platform poses a risk to CogniClose, other users, or third parties

Upon termination for cause, you will not be entitled to any refunds, and you will remain liable for all fees and charges incurred prior to termination.

13.3 Effect of Termination

Upon termination of your account:

• Your access to CogniClose will be immediately disabled
• Your account data, prospect lists, and conversation history will be retained for 7 days, after which they will be permanently deleted unless otherwise required by law
• Any outstanding fees or charges will remain due and payable
• Provisions of these Terms that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) will continue to apply

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and any disputes arising from or relating to your use of CogniClose shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles. Upon our planned expansion to the United States, governing law may be updated, and users will be notified of any changes.

14.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising from or relating to these Terms or your use of CogniClose, you agree to first contact us at legal@cogniclose.com to attempt to resolve the matter informally. We are committed to working with you in good faith to reach a resolution.

If the dispute cannot be resolved informally within 30 days, either party may pursue legal remedies in accordance with the governing law. You agree to submit to the exclusive jurisdiction of the courts located in Pakistan (or, following our expansion, the United States) for the resolution of any disputes.

14.3 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and CogniClose regarding your use of the service and supersede all prior or contemporaneous understandings and agreements, whether written or oral.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of CogniClose.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. CogniClose may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

15.5 Force Majeure

CogniClose shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, labor disputes, or failures of third-party services (including LinkedIn API disruptions).

15.6 Third-Party Services

CogniClose may integrate with or rely on third-party services (such as Unipile, Brevo, Gemini AI, Groq, and Bright Data). We are not responsible for the availability, performance, or policies of these third-party services. Your use of third-party services may be subject to their own terms and conditions.

CogniClose is not a bulk email marketing tool, spam tool, or data broker. All outreach facilitated through CogniClose is targeted, personalized, and based solely on your own LinkedIn account activity. Users must ensure that all outreach complies with applicable laws and platform policies, including anti-spam regulations such as CAN-SPAM, GDPR, and CASL.
